1. Acceptance of Terms Welcome to Guangzhou Minglang Luggage and Bags Co., Ltd. ("Minglang," "we," "us," or "our"). By accessing or using our website at minglangch.com (the "Site") and engaging our manufacturing services, you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, please do not use our Site or services.

2. Business Scope and Services Minglang is a business-to-business (B2B) manufacturer specializing in luggage, backpacks, and related textile products. We provide both Original Equipment Manufacturing (OEM) and Original Design Manufacturing (ODM) services. The information provided on this Site is intended for corporate clients, wholesalers, distributors, and brands.

3. Inquiries, Samples, and Orders

Inquiries: Any product specifications, pricing, and Minimum Order Quantities (MOQs) listed on the Site are for general reference and are subject to change. Final terms will be confirmed via a formal Quotation or Proforma Invoice (PI).

Samples: We provide sample-making services. Sample fees and shipping costs are the responsibility of the client unless otherwise explicitly agreed upon in writing. Sample fees may be refunded upon the placement of a bulk order that meets our specified MOQ.

Bulk Orders: A binding contract is only formed when both parties have signed a formal Sales Contract or Proforma Invoice, and the required deposit has been received.

4. Intellectual Property (IP) Rights

Client Designs (OEM): If you provide us with your own designs, tech packs, or logos, you retain all intellectual property rights to them. You warrant that you have the legal right to use such IP and will indemnify Minglang against any third-party infringement claims. We agree to manufacture these designs exclusively for you and will not sell them to other parties.

Minglang Designs (ODM): All original designs, catalog products, graphics, website content, and structural innovations developed by Minglang remain our exclusive intellectual property. You may not reproduce, distribute, or claim ownership of our original designs without written authorization.

5. Payment and Shipping Standard payment terms (e.g., T/T deposit and balance before shipment) will be detailed in your specific order contract. Shipping terms (FOB, CIF, EXW, etc.) will be executed in accordance with the latest Incoterms rules. We are not liable for delays in transit caused by shipping carriers, customs clearance, or force majeure events.

6. Limitation of Liability To the maximum extent permitted by applicable law, Minglang shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or data, arising out of or related to your use of our Site, products, or manufacturing services. Our total liability for any claim arising out of a specific order shall not exceed the total amount paid by you for that specific order.

7. Force Majeure We shall not be held responsible for any delay or failure in performance of any part of our agreement caused by events beyond our reasonable control, including but not limited to natural disasters, strikes, factory disruptions, material shortages, or government restrictions.

8. Governing Law and Dispute Resolution These Terms of Service and any separate manufacturing agreements we offer you shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising out of or in connection with these terms shall be settled through friendly negotiation. If negotiation fails, the dispute shall be submitted to the competent court in Guangzhou, China.
